What is a Deed of Novation?

A Deed of Novation transfers rights and obligations under an existing contract from an outgoing party to an incoming party, with the continuing party’s consent—extinguishing the outgoing party’s future liability for novated obligations. It is commonly used in India for contract transfers on business sales, refinancing, and vendor substitutions. (The continuing party usually also executes.)
